Terms of Service

These Terms constitute a legally binding agreement between you (or the company you represent) and Quotara. By creating an account or using any part of the service you confirm that you are at least 18 years old and have the authority to accept these Terms on behalf of yourself or your organisation.

Quotara is an AI-powered procurement platform designed for contractors. It provides tools for managing jobs and vendors, generating RFQ emails, extracting and comparing quotes, and receiving AI-assisted vendor recommendations.

The service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where practicable.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@quotara.ai if you suspect unauthorised access.

You agree not to:

• Share your account credentials with others
• Use the service to transmit malicious code or interfere with its operation
• Attempt to access data belonging to other users
• Use automated means to scrape or extract data from the platform
• Violate any applicable law or regulation in connection with your use of the service

You retain full ownership of all data you upload or create within Quotara, including job details, vendor information, and uploaded quote documents. You grant Quotara a limited licence to store and process this data solely for the purpose of providing the service to you.

We do not claim any ownership rights over your procurement data and will not share it with third parties except as required to operate the service (e.g. passing document content to the Anthropic API for AI processing, as described in our Privacy Policy).

The Quotara name, logo, product design, and all underlying software are the intellectual property of Quotara and its licensors. Nothing in these Terms grants you any right to use our trademarks or proprietary materials outside of normal use of the platform.

AI-generated content produced by the service (such as RFQ emails or vendor recommendations) is provided for your use as part of the service. You are responsible for reviewing and approving any AI-generated output before acting on it.

Quotara is currently in beta. Features may be incomplete, change without notice, or be temporarily unavailable. Early access is provided free of charge. When paid plans are introduced, users will be notified in advance.

To the fullest extent permitted by law, Quotara is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI-generated recommendations and extracted quote data are provided as a tool to assist your decision-making — not as professional or legal advice. You should independently verify any information before making procurement decisions.

To the maximum extent permitted by applicable law, Quotara and its founders, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the service — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of these Terms or your use of the service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US $100.

You may stop using Quotara at any time by deleting your account from the Settings page or by contacting us.

We reserve the right to suspend or terminate your access if you violate these Terms, engage in fraudulent or illegal activity, or cause harm to the service or other users. We will provide notice where reasonably possible.

These Terms are governed by the laws of the jurisdiction in which Quotara is incorporated, without regard to conflict-of-law principles. Any disputes will be resolved through good-faith negotiation; failing that, through binding arbitration or courts of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Continued use of the service after changes take effect constitutes acceptance.
